Using the term "shares" is perfectly fine and the word alone does not classify GHX as a security. From a legal point of view it does not matter if you buy mining power, mining shares or mining tokens as long as the revenue generated and paid out comes from mining (generating coins).

I don't see why it would be?
GH is build around hardware bought as part of a group buy (the GH team included just like everyone else).

It's like pooling money to purchase something with your friends when all living together in college.
